BISTRO BUDDY - Brand Asset Trademark Usage License
Parties. This agreement is between the signer and PageRank Kings LLC d/b/a BISTRO BUDDY, including its applicable websites, apps, brands, owners, managers, contractors, event partners, successors and assigns.
Purpose. Use when BISTRO BUDDY or a partner grants limited permission to use names, logos, trademarks, artwork, event marks or approved brand assets. The signer confirms that the information submitted is truthful, current and provided by a person with authority to sign.
Limited license. The brand owner grants only the specific, nonexclusive, nontransferable and revocable permission identified in this form. Ownership and goodwill remain with the brand owner.
Quality and guidelines. Assets must be used in approved form, colors, proportions and context. They may not be distorted, combined into a new mark, used as a domain or account name, or presented in a misleading or harmful manner.
No implied endorsement. Use of an asset does not authorize statements that the brand owner endorses, guarantees or sponsors a person, product, event or claim beyond the approved relationship.
Approvals. The brand owner may require review of proofs or final materials before publication. Material changes require renewed approval.
Third-party rights. The recipient remains responsible for other rights involved in the material, including music, photography, talent, venue, product and advertising claims.
Expiration and removal. On expiration, termination or request, new use must stop and removable digital or physical materials must be updated or withdrawn within a reasonable period.
Confidentiality. Non-public business, technical, financial, customer, vendor, sponsor, event, account and operational information received through this relationship must be protected and used only for the approved purpose. These duties continue after access or participation ends where the information remains confidential.
Electronic consent and signature. By checking the required acknowledgments, typing a legal name, selecting a signature date and drawing a digital signature, the signer intends to sign electronically and agrees that the electronic record may be stored, reproduced and relied upon for business and legal records.
Term, termination and survival. BISTRO BUDDY may suspend or terminate permission, access or participation when reasonably necessary. Provisions concerning confidentiality, ownership, licenses, payments, records, security, dispute handling and obligations intended to continue will survive as applicable.
Governing law; severability. Unless controlling law requires otherwise or a separate signed agreement states differently, Connecticut law governs. If a provision is limited or unenforceable, the remaining provisions continue and the affected provision should be enforced to the maximum lawful extent.
Complete record. This form should be read with any applicable proposal, invoice, policy, event rule, platform term or separate signed agreement. A separate signed agreement controls where it directly conflicts with this form.
