BISTRO BUDDY - Co-Marketing Campaign Approval Asset Use Agreement
Parties. This agreement is between the signer and PageRank Kings LLC d/b/a BISTRO BUDDY, including its applicable websites, apps, brands, owners, managers, contractors, event partners, successors and assigns.
Purpose. Use with businesses, sponsors, venues, artists, vendors or media partners collaborating on a joint marketing campaign. The signer confirms that the information submitted is truthful, current and provided by a person with authority to sign.
Campaign scope. The campaign is limited to the identified channels, dates, audiences, offers, deliverables and approved changes.
Assets and license. Each party grants the others a limited, nonexclusive, revocable license to use approved names, logos, copy and media solely for the campaign.
Approvals and claims. Material claims, pricing, endorsements, disclosures, regulated-product content and public statements require appropriate approval from the responsible party.
Leads and data. Shared lead information may be used only as agreed and must be handled according to consent, privacy, security and suppression requirements.
Costs and measurement. Each party is responsible for costs assigned to it. Metrics may be reported from available platform data, but reach, sales, attendance and conversions are not guaranteed.
Termination and corrections. A party may require correction or removal of unauthorized or materially inaccurate content. Existing obligations, records and approved completed uses survive as appropriate.
Confidentiality. Non-public business, technical, financial, customer, vendor, sponsor, event, account and operational information received through this relationship must be protected and used only for the approved purpose. These duties continue after access or participation ends where the information remains confidential.
Electronic consent and signature. By checking the required acknowledgments, typing a legal name, selecting a signature date and drawing a digital signature, the signer intends to sign electronically and agrees that the electronic record may be stored, reproduced and relied upon for business and legal records.
Term, termination and survival. BISTRO BUDDY may suspend or terminate permission, access or participation when reasonably necessary. Provisions concerning confidentiality, ownership, licenses, payments, records, security, dispute handling and obligations intended to continue will survive as applicable.
Governing law; severability. Unless controlling law requires otherwise or a separate signed agreement states differently, Connecticut law governs. If a provision is limited or unenforceable, the remaining provisions continue and the affected provision should be enforced to the maximum lawful extent.
Complete record. This form should be read with any applicable proposal, invoice, policy, event rule, platform term or separate signed agreement. A separate signed agreement controls where it directly conflicts with this form.
