BISTRO BUDDY - User Generated Content License Moderation Agreement
Parties. This agreement is between the signer and PageRank Kings LLC d/b/a BISTRO BUDDY, including its applicable websites, apps, brands, owners, managers, contractors, event partners, successors and assigns.
Purpose. Use when members, creators, businesses, vendors or event participants submit photos, videos, reviews, articles, listings or other content. The signer confirms that the information submitted is truthful, current and provided by a person with authority to sign.
Content representation. The signer represents that submitted content is original or properly licensed and that all necessary permissions, releases and approvals have been obtained from creators, depicted persons, venues and rights holders.
License grant. The signer grants BISTRO BUDDY a worldwide, nonexclusive, royalty-free, transferable and sublicensable license to host, reproduce, edit, adapt, publish, display, distribute, promote and archive the submitted content for platform, event, editorial and marketing purposes.
Attribution and compensation. BISTRO BUDDY may provide attribution when practical but is not required to do so unless a separate written agreement applies. No payment, royalty or residual is owed unless separately agreed in writing.
Moderation. BISTRO BUDDY may review, label, crop, correct, restrict, remove or decline content to address safety, legality, accuracy, quality, platform integrity or community standards.
Takedown and disputes. The signer will cooperate with reasonable rights inquiries. A request to remove content will be reviewed, but prior lawful uses, backups, records and materials already distributed may remain where reasonably necessary or legally permitted.
Indemnity limitation. The signer is responsible for claims arising from a material breach of the ownership and authority representations, subject to applicable law and any separate written agreement.
Confidentiality. Non-public business, technical, financial, customer, vendor, sponsor, event, account and operational information received through this relationship must be protected and used only for the approved purpose. These duties continue after access or participation ends where the information remains confidential.
Electronic consent and signature. By checking the required acknowledgments, typing a legal name, selecting a signature date and drawing a digital signature, the signer intends to sign electronically and agrees that the electronic record may be stored, reproduced and relied upon for business and legal records.
Term, termination and survival. BISTRO BUDDY may suspend or terminate permission, access or participation when reasonably necessary. Provisions concerning confidentiality, ownership, licenses, payments, records, security, dispute handling and obligations intended to continue will survive as applicable.
Governing law; severability. Unless controlling law requires otherwise or a separate signed agreement states differently, Connecticut law governs. If a provision is limited or unenforceable, the remaining provisions continue and the affected provision should be enforced to the maximum lawful extent.
Complete record. This form should be read with any applicable proposal, invoice, policy, event rule, platform term or separate signed agreement. A separate signed agreement controls where it directly conflicts with this form.
