BISTRO BUDDY - API Developer Access Security Data Use Agreement
Parties. This agreement is between the signer and PageRank Kings LLC d/b/a BISTRO BUDDY, including its applicable websites, apps, brands, owners, managers, contractors, event partners, successors and assigns.
Purpose. Use before granting API keys, webhooks, service accounts, database interfaces, sandbox access or technical integration documentation. The signer confirms that the information submitted is truthful, current and provided by a person with authority to sign.
Limited technical license. Access is a limited, revocable permission to use approved interfaces for the identified integration. It does not transfer ownership of code, data, documentation, trademarks or systems.
Security. The developer must protect secrets, validate requests, use approved encryption, restrict personnel access, patch dependencies and follow reasonable secure-development practices.
Data minimization. Only data necessary for the approved purpose may be collected or retained. Personal, confidential and customer data must not be sold, profiled or reused for unrelated purposes.
Operational limits. The developer must respect scopes, quotas, rate limits, testing restrictions and change notices and must not interfere with service reliability or other users.
Incident and vulnerability handling. Suspected compromise, exposure, abuse or material vulnerability must be reported promptly and must not be publicly disclosed before reasonable coordinated remediation unless legally required.
Termination. BISTRO BUDDY may rotate or revoke keys, restrict endpoints or suspend access when necessary. On termination, the developer must cease calls and delete unauthorized retained data and credentials.
Confidentiality. Non-public business, technical, financial, customer, vendor, sponsor, event, account and operational information received through this relationship must be protected and used only for the approved purpose. These duties continue after access or participation ends where the information remains confidential.
Electronic consent and signature. By checking the required acknowledgments, typing a legal name, selecting a signature date and drawing a digital signature, the signer intends to sign electronically and agrees that the electronic record may be stored, reproduced and relied upon for business and legal records.
Term, termination and survival. BISTRO BUDDY may suspend or terminate permission, access or participation when reasonably necessary. Provisions concerning confidentiality, ownership, licenses, payments, records, security, dispute handling and obligations intended to continue will survive as applicable.
Governing law; severability. Unless controlling law requires otherwise or a separate signed agreement states differently, Connecticut law governs. If a provision is limited or unenforceable, the remaining provisions continue and the affected provision should be enforced to the maximum lawful extent.
Complete record. This form should be read with any applicable proposal, invoice, policy, event rule, platform term or separate signed agreement. A separate signed agreement controls where it directly conflicts with this form.
