BISTRO BUDDY - Vendor Lead Data Confidentiality Permitted Use Agreement
Parties. This agreement is between the signer and PageRank Kings LLC d/b/a BISTRO BUDDY, including its applicable websites, apps, brands, owners, managers, contractors, event partners, successors and assigns.
Purpose. Use before sharing vendor, sponsor, artist, venue, business, customer, prospect or event lead information. The signer confirms that the information submitted is truthful, current and provided by a person with authority to sign.
Confidential relationship information. Covered information includes contact details, introductions, history, preferences, pricing, deal stages, notes, lists, proposals and opportunity data that are not public.
Permitted purpose. The signer may use the information only for the approved BISTRO BUDDY campaign, relationship or assignment and only through authorized systems and communication methods.
No sale, sharing or diversion. The signer must not sell, disclose, copy, export or transfer the data to another business or personal system without authorization and must not use it to bypass or divert BISTRO BUDDY opportunities.
Privacy and outreach compliance. The signer must respect opt-outs, suppression lists, channel permissions, platform rules and applicable privacy and communication laws.
Data quality and security. Updates must be accurate and professional. Sensitive notes should be minimized, credentials must not be stored in free-text fields and suspected disclosure must be reported promptly.
Return and continuing duties. At the end of access, the signer must return or delete unauthorized copies. Confidentiality and no-misuse obligations continue after access ends.
Confidentiality. Non-public business, technical, financial, customer, vendor, sponsor, event, account and operational information received through this relationship must be protected and used only for the approved purpose. These duties continue after access or participation ends where the information remains confidential.
Electronic consent and signature. By checking the required acknowledgments, typing a legal name, selecting a signature date and drawing a digital signature, the signer intends to sign electronically and agrees that the electronic record may be stored, reproduced and relied upon for business and legal records.
Term, termination and survival. BISTRO BUDDY may suspend or terminate permission, access or participation when reasonably necessary. Provisions concerning confidentiality, ownership, licenses, payments, records, security, dispute handling and obligations intended to continue will survive as applicable.
Governing law; severability. Unless controlling law requires otherwise or a separate signed agreement states differently, Connecticut law governs. If a provision is limited or unenforceable, the remaining provisions continue and the affected provision should be enforced to the maximum lawful extent.
Complete record. This form should be read with any applicable proposal, invoice, policy, event rule, platform term or separate signed agreement. A separate signed agreement controls where it directly conflicts with this form.
