Purpose. Use when a seller lists products, services, tickets, digital goods or marketplace offers through BISTRO BUDDY. The signer confirms that the information submitted is truthful, current and provided by a person with authority to sign.
Seller status. The seller operates as an independent business and is responsible for its products, services, staff, permits, taxes, insurance, fulfillment and representations.
Listings. Listings must be accurate, current and supported by necessary rights. BISTRO BUDDY may edit formatting, reject, suspend or remove listings that create legal, safety, quality or platform risks.
Orders and fulfillment. The seller must fulfill accepted orders and communicate delays, substitutions, cancellations or availability issues promptly.
Payouts and fees. Payout timing, processing fees, platform fees, reserves, refunds and charge adjustments are governed by the applicable checkout, payment-provider and seller terms shown for the transaction.
Refunds and disputes. The seller must cooperate with customer-service, refund, fraud and chargeback reviews and provide records reasonably requested to evaluate a dispute.
Customer data. Customer information may be used only to fulfill the transaction, provide authorized service and meet legal recordkeeping duties; it may not be sold or used for unrelated marketing without appropriate consent.
Confidentiality. Non-public business, technical, financial, customer, vendor, sponsor, event, account and operational information received through this relationship must be protected and used only for the approved purpose. These duties continue after access or participation ends where the information remains confidential.
Electronic consent and signature. By checking the required acknowledgments, typing a legal name, selecting a signature date and drawing a digital signature, the signer intends to sign electronically and agrees that the electronic record may be stored, reproduced and relied upon for business and legal records.
Term, termination and survival. BISTRO BUDDY may suspend or terminate permission, access or participation when reasonably necessary. Provisions concerning confidentiality, ownership, licenses, payments, records, security, dispute handling and obligations intended to continue will survive as applicable.
Governing law; severability. Unless controlling law requires otherwise or a separate signed agreement states differently, Connecticut law governs. If a provision is limited or unenforceable, the remaining provisions continue and the affected provision should be enforced to the maximum lawful extent.
Complete record. This form should be read with any applicable proposal, invoice, policy, event rule, platform term or separate signed agreement. A separate signed agreement controls where it directly conflicts with this form.
