BISTRO BUDDY General Volunteer, Beta Tester, Content Creator, Event Support, Confidentiality, Content Rights, Media Release, Safety, and Limited Restrictive Covenant Agreement
Agreement Version: BB-VOLUNTEER-MULTIPAGE-2026-07-08-v4. This agreement is between PageRank Kings LLC d/b/a BISTRO BUDDY and the person submitting this form (the “Volunteer”). It applies to any volunteer, beta tester, event helper, content creator, photographer, videographer, influencer, community ambassador, app tester, outreach helper, administrative helper, brand ambassador, field helper, or other person who assists BISTRO BUDDY in any unpaid or volunteer capacity.
1. Voluntary relationship; no employment promise. Volunteer understands that participation is voluntary and unpaid unless a separate written paid agreement is signed by BISTRO BUDDY before the work is performed. This form does not create employment, a partnership, a joint venture, an agency relationship, a franchise, a contractor relationship, or a guarantee of future work, compensation, event access, credentials, assignments, referrals, or opportunities. Volunteer may stop volunteering, and BISTRO BUDDY may end or limit Volunteer’s participation, access, credentials, assignments, or event involvement at any time.
2. No authority to bind BISTRO BUDDY. Volunteer has no authority to sign contracts, collect money, accept payment, promise services, approve vendors, approve sponsors, grant discounts, make refunds, approve media rights, bind BISTRO BUDDY, or speak officially for BISTRO BUDDY unless BISTRO BUDDY gives specific written authorization. Volunteer must not represent that they are an employee, officer, owner, partner, attorney, agent, or authorized representative of BISTRO BUDDY unless specifically authorized in writing.
3. Scope of volunteer activities. Activities may include, without limitation, website/app beta testing, profile or listing review, marketplace testing, event check-in support, booth support, vendor support, food truck/event outreach, community engagement, photography, video, interviews, social media content, written content, article tips, directory research, CRM support, marketing support, and other reasonable tasks assigned by BISTRO BUDDY. Volunteer agrees to follow BISTRO BUDDY instructions, venue rules, event rules, platform rules, applicable laws, and reasonable safety instructions.
4. Confidential Information. “Confidential Information” includes all non-public information relating to BISTRO BUDDY or PageRank Kings, including business plans, event plans, software, app features, beta features, private URLs, login credentials, passwords, API keys, source code, databases, customer lists, vendor lists, sponsor leads, pricing, proposals, contracts, CRM records, HubSpot records, financial information, sales strategy, marketing strategy, unpublished content, private communications, private contact information, operational processes, trade secrets, and information marked or reasonably understood as confidential.
5. Confidentiality duties. Volunteer must use Confidential Information only for authorized BISTRO BUDDY purposes, must not disclose it to any third party, must not post it publicly, must not copy or export it except as authorized, and must protect it with at least reasonable care. Volunteer must immediately notify BISTRO BUDDY if Confidential Information, login access, devices, files, or messages are lost, stolen, accessed by an unauthorized person, or accidentally disclosed.
6. Trade secrets and survival. Trade secrets remain protected for as long as they remain trade secrets under applicable law. Other confidentiality duties survive for five years after Volunteer’s last involvement with BISTRO BUDDY unless a longer period is allowed or required by law or by the nature of the information.
7. Platform access and security. Volunteer must not share accounts, passwords, admin links, private forms, QR codes, unpublished app features, private spreadsheets, CRM exports, or private directories. Volunteer must not scrape, copy, download, reverse engineer, probe, disrupt, overload, bypass security, or attempt unauthorized access to any BISTRO BUDDY system, Joomla website, RSForm, HubSpot account, app, server, social account, ad account, or third-party service.
8. Content ownership, license, and permitted use. To the extent Volunteer creates photos, videos, audio, interviews, captions, posts, graphics, written content, listing information, reviews, testing notes, ideas, edits, drafts, or other materials for or in connection with BISTRO BUDDY activities (“Volunteer Content”), Volunteer grants BISTRO BUDDY and its affiliates, successors, licensees, clients, sponsors, partners, and designees a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, edit, adapt, publish, display, distribute, promote, monetize, and create derivative works from the Volunteer Content in any media or platform. Where legally possible and specifically assigned to BISTRO BUDDY in writing, Volunteer assigns all right, title, and interest in work created specifically at BISTRO BUDDY’s direction.
9. Third-party rights and truthful content. Volunteer must not submit or post content that infringes copyrights, trademarks, privacy rights, publicity rights, venue rules, music licensing rights, or third-party rights. Volunteer must not submit false, misleading, defamatory, obscene, harassing, discriminatory, illegal, unsafe, or deceptive content. Volunteer is responsible for making sure they have the right to provide content they submit. If Volunteer captures people on camera, Volunteer must follow BISTRO BUDDY instructions about consent, event rules, and model releases.
10. Media release. Volunteer gives BISTRO BUDDY permission to photograph, film, record, interview, identify, display, publish, and use Volunteer’s name, image, likeness, voice, statements, handle, profile, and biography in connection with BISTRO BUDDY, events, content, marketing, social media, websites, apps, directories, sponsor materials, and promotional materials, without additional compensation, unless prohibited by law or unless BISTRO BUDDY agrees otherwise in writing.
11. Feedback, ideas, and beta testing. Volunteer may provide suggestions, ideas, bug reports, feature requests, notes, improvements, rankings, workflows, testing results, or other feedback. BISTRO BUDDY may use, adapt, commercialize, or ignore that feedback without owing compensation, credit, ownership, or approval, unless a separate written agreement says otherwise. Volunteer must not publicly disclose beta features, bugs, screenshots, test credentials, testing procedures, or unreleased functionality without written permission.
12. FTC, advertising, reviews, and social posting rules. If Volunteer posts about BISTRO BUDDY, events, sponsors, food trucks, restaurants, breweries, products, venues, partners, or related businesses, Volunteer must be truthful, must not make unsupported claims, must clearly disclose any material connection when required, and must follow platform rules, FTC endorsement principles, and applicable advertising rules. Volunteer must not imply that BISTRO BUDDY, an event organizer, sponsor, vendor, restaurant, brewery, or venue approved a post unless authorized.
13. Alcohol, food, safety, and event conduct. Volunteer must follow all food, alcohol, venue, parking, crowd control, access, ID, badge, wristband, credential, and safety rules. Volunteer must not serve alcohol, check IDs, handle money, operate equipment, move vehicles, enter restricted areas, perform security duties, or perform hazardous tasks unless expressly authorized and legally allowed. Volunteer must act professionally and must not harass, threaten, discriminate, bully, stalk, exploit, or endanger any person.
14. Privacy and personal data. Volunteer may encounter private personal information, contact information, CRM information, vendor information, sponsor information, user data, or submission data. Volunteer must keep that information private, use it only for authorized BISTRO BUDDY purposes, and promptly return or delete it upon request. Volunteer consents to BISTRO BUDDY storing this form submission, IP address, timestamp, signature, acknowledgments, and contact information in its records, RSForm/Joomla systems, email, CRM, HubSpot, and related business tools.
15. Limited non-solicitation, no-diversion, and no misuse. For 12 months after Volunteer’s last authorized involvement with BISTRO BUDDY, Volunteer agrees not to knowingly use BISTRO BUDDY Confidential Information, private introductions, private leads, private CRM information, private vendor/sponsor/customer lists, platform access, or event relationships developed through BISTRO BUDDY to divert opportunities away from BISTRO BUDDY, solicit protected BISTRO BUDDY relationships for a competing purpose, interfere with BISTRO BUDDY contracts or prospective contracts, or build or assist a competing platform by misusing BISTRO BUDDY protected information. This clause is intended as a narrow protection of confidentiality, trade secrets, goodwill, and protected relationships, not as a broad ban on ordinary employment, ordinary volunteering, lawful competition, or independent work that does not misuse BISTRO BUDDY protected information.
16. Return and deletion of materials. Upon request, Volunteer must return, delete, or stop using BISTRO BUDDY materials, credentials, files, badges, passes, forms, QR codes, content drafts, contact lists, sponsor lists, vendor lists, CRM exports, private messages, and Confidential Information, except where retention is required by law or contained in ordinary archival backups.
17. Expenses, property, and equipment. Volunteer is responsible for their own transportation, phone, device, data plan, camera, equipment, meals, parking, and other expenses unless BISTRO BUDDY agrees in writing before the expense is incurred. Volunteer must not use BISTRO BUDDY property, credentials, logos, brand assets, forms, or accounts outside authorized purposes.
18. Assumption of risk and release. Volunteer understands that event environments may involve crowds, weather, traffic, uneven surfaces, noise, food allergens, alcohol, equipment, physical activity, and other risks. To the fullest extent allowed by law, Volunteer assumes the risks of voluntary participation and releases BISTRO BUDDY, PageRank Kings LLC, their owners, members, officers, employees, contractors, partners, sponsors, vendors, affiliates, successors, and representatives from claims arising out of ordinary negligence or voluntary participation, except where release is not allowed by law.
19. Indemnification. Volunteer agrees to defend, indemnify, and hold harmless BISTRO BUDDY and PageRank Kings LLC from claims, damages, losses, costs, and expenses, including reasonable attorney’s fees where allowed, arising from Volunteer’s breach of this agreement, unauthorized commitments, misconduct, unlawful acts, infringement, misuse of Confidential Information, unsafe conduct, or violation of third-party rights.
20. No guarantee and review rights. BISTRO BUDDY may accept, reject, edit, remove, delay, decline to publish, or stop using any Volunteer Content or volunteer assistance at any time. BISTRO BUDDY does not guarantee exposure, followers, commissions, paid work, credits, press access, vendor access, event tickets, credentials, sales, or business opportunities.
21. Governing law; venue; equitable relief. This agreement is governed by Connecticut law, without regard to conflict-of-law rules. To the extent a court proceeding is necessary and venue can be agreed by contract, the parties consent to courts located in Connecticut. Volunteer agrees that unauthorized disclosure or misuse of Confidential Information, trade secrets, platform access, or protected relationships may cause irreparable harm, and BISTRO BUDDY may seek injunctive or equitable relief where allowed by law.
22. Severability; interpretation. If any provision is found invalid, unlawful, or unenforceable, the rest remains effective. Any restriction will be interpreted and, where allowed, revised only as much as necessary to make it enforceable and consistent with applicable law. The parties intend the restrictions to protect confidentiality, trade secrets, content rights, safety, privacy, and legitimate business relationships, not to impose an unlawful restraint on ordinary work or lawful competition.
23. Entire agreement; electronic signature. This form, its acknowledgments, and the submitted electronic signature are the complete volunteer agreement unless BISTRO BUDDY and Volunteer sign a separate written agreement. Electronic records, typed names, checkbox acknowledgments, timestamps, IP addresses, stored CRM/HubSpot records, and digital signatures may be used as evidence of agreement. Volunteer confirms that the information submitted is true, that Volunteer had the opportunity to read this agreement carefully and ask questions before signing, and that Volunteer is signing voluntarily.
