BISTRO BUDDY - Content Syndication Republishing License Agreement
Parties. This agreement is between the signer and PageRank Kings LLC d/b/a BISTRO BUDDY, including its applicable websites, apps, brands, owners, managers, contractors, event partners, successors and assigns.
Purpose. Use when BISTRO BUDDY or another publisher wants to republish, embed, distribute or syndicate approved editorial or promotional content. The signer confirms that the information submitted is truthful, current and provided by a person with authority to sign.
License scope. The rights holder grants the specific nonexclusive rights identified for the stated publication, channels, territory and term. Rights not expressly granted are reserved.
Attribution and links. The licensee must provide agreed credit, source identification and links and may be required to use a canonical link or other search-engine attribution method.
Editing. Reasonable formatting and length edits are permitted only when they do not materially distort meaning, create false endorsement or remove required disclosures.
Third-party material. The license applies only to material the rights holder has authority to license. Separate permission may be required for third-party media, music, trademarks, quotes and embedded content.
Monetization and fees. Advertising, sponsorship, subscription, fee or revenue-sharing rights apply only as stated in the approved terms or separate written agreement.
Removal and correction. The licensee must reasonably cooperate with corrections, legal notices and removal requests involving rights disputes, material inaccuracies or expired permission.
Confidentiality. Non-public business, technical, financial, customer, vendor, sponsor, event, account and operational information received through this relationship must be protected and used only for the approved purpose. These duties continue after access or participation ends where the information remains confidential.
Electronic consent and signature. By checking the required acknowledgments, typing a legal name, selecting a signature date and drawing a digital signature, the signer intends to sign electronically and agrees that the electronic record may be stored, reproduced and relied upon for business and legal records.
Term, termination and survival. BISTRO BUDDY may suspend or terminate permission, access or participation when reasonably necessary. Provisions concerning confidentiality, ownership, licenses, payments, records, security, dispute handling and obligations intended to continue will survive as applicable.
Governing law; severability. Unless controlling law requires otherwise or a separate signed agreement states differently, Connecticut law governs. If a provision is limited or unenforceable, the remaining provisions continue and the affected provision should be enforced to the maximum lawful extent.
Complete record. This form should be read with any applicable proposal, invoice, policy, event rule, platform term or separate signed agreement. A separate signed agreement controls where it directly conflicts with this form.
